United Heavy Machinery (LSE: OMZ)

Since 2004 IndexAtlas Group has been engaged to assist LSE-listed OAO OMZ with setting up and managing board audit and remuneration committees. An IndexAtlas representative has been elected to the board of OMZ as an independent director, and since 2005 has been chairing the board's remuneration committee, assisting OMZ's new owners with management change and implementing new long-term compensation policies for senior management.

LSR Group (LSE: LSRG)

Since 2007 IndexAtlas Group has been engaged by LSR to assist with establishing professional corporate governance, management of IPO transaction (advisory to principal shareholder) and setting up strategic and investment planning function. LSR Group listed in November 2007, achieving $6.8bn market capitalisation at IPO price and becoming the second largest listed real estate group in Eastern Europe and the largest listed building materials firm in the European emerging markets at that time.

Independence Group

Since 2005 IndexAtlas Group has advised Independence Group on a series of equity financing and joint venture transactions. An IndexAtlas representative has been elected to the board of Independence Group as an independent director.

Volga Paper

In 2011 an IndexAtlas representative was elected to the board of Volga Paper as an independent director.

A. Monforts Werkzeugmaschinen

In 2010 IndexAtlas advised a Russian industrial client on acquisition of Mönchengladbach, Germany based A. Monforts Werkzeugmaschinen GmbH. The control has been acquired through equity increase to take the company out of insolvency.

NTPharma

In 2010 IndexAtlas advised US based investor on participation in private equity round of financing in NTPharma, Russian biotechnology startup co-founded with Rosnano, Russian government corporation created to co-invest in nanotechnology industry projects with high commercial potential.

Kirovsky Zavod (RTS: KIRZ)

In 2006 IndexAtlas Group structured and arranged financing for an acquisition of a stake in Kirovsky Zavod, 206-year-old, 200-hectare steel production, tractor manufacturing and diversified machinery plant located in Saint Petersburg. In 2007-2008 IndexAtlas Group provided the company with corporate governance and corporate finance services, with an IndexAtlas representative chaired the board's strategy committee.

Shatura

In 2009 we have been asked with succession planning by the family controlling the plant and have been assisting on the board level to the two sons of original owner and CEO of the plant to assume their day to day management responsibilities in the company, providing a safety net of internal controls and board supervision.

Nutrinvestholding

The firm defaulted on its debt in 2009 and as the part of debt restructuring process creditors obtained the right to elect their representatives to the board. We have provided one such representative to the board of Nutrinvestholding to chair the audit committee of the board and we managed extensive forensic investigation, immediate introduction of efficient internal control systems and provided hands on board control over business restructuring plan at the firm.

Unified Energy Systems (RAO UES)

In 2003 IndexAtlas Group received a mandate from RAO UES to establish one of the first ever professional audit committees of the board of directors in a Russian public company. For five years now, IndexAtlas Group has been providing corporate governance and audit committee administration services to RAO UES, Russia's state-controlled national electricity production and distribution monopoly (and one of the most actively traded Russian stocks) that has undergone unprecedented transformation during this time, with power generation companies restructured and privatised, and the national grid monopoly remaining. RAO UES will cease operations on 30 June 2008.
